an entity enters into an agreement with another
for sale of its products/services. Such agreement may envisage exclusive rights
to sell products/services within a specific territory. Usually, the distributor
is expected not to engage in distribution/sale of competing products/services and
may partake in promoting the business. In connection with its activities,
the distributor may be permitted to use IP, in particular, trade marks and other
business identifiers, of the owner of goods/services with appropriate checks
and balances.
